Performance Management Contract
Energy Performance Contracting is a way of implementing energy efficiency projects and equipment/plant/maintenance upgrades in all types of facilities and buildings including streetlights. It provides a transparent way to manage risks, while guaranteeing outcomes and results.

The services that an ESCO (contractor undertaking a Performance Management Contract) will perform include:
Performing an energy audit, lighting design known as a Detailed Facility Study (DFS) or Lighting Master plan
Establishing baseline energy use for specific equipment, systems, or the facility as a whole;
Designing the project in consultation with the Customer;
Undertaking turnkey supply, installation and commissioning of equipment;
Training or briefing Customer personnel;
Operating and maintaining the equipment for the life of the contract;
Conducting measurement and verification (CM&V) to determine the actual savings; and
Providing savings and equipment performance guarantees.
Other items such as technical, civil and legal liability risk can also be priced into these types of contracts and should be detailed before the tender.
The nature of the contract is intended to be long term so a good contract and legal advice should be well established before the contract and the outcomes clearly understood.
Background
Andhra Pradesh, Karnataka, Goa & Gujarat became the first state to get assistance from EESL to replace conventional street lighting with LED lighting after cyclone Hudhud cause extensive damage in Visakhapatnam. Since then, ESSL has installed an approximate 5,90,000 LED street lights in the state. These lights have helped the state to reduce over 65,000 tonnes of CO2 every year. Across the country, more than 23 lakh conventional street lights have been replaced by LED street lights in 21 States. Prime Minister has launched '100 cities National Programme' on 5th January 2017 to replace conventional domestic lights with energy efficient LED lights, Similarly, Under the Street Light National Programme (SLNP), the government has set a target of replacing 1.34 Crore conventional street lights with LED lights across the country. LED bulbs have a very long life, almost 50 times more than ordinary bulbs, and 8 to 10 times that of CFLs, and therefore provide both energy and cost savings in the medium term. The benefits of LED lights are: (i) Electricity savings (ii) Reduction of load (iii) Reduction of consumer bills iii (Greenhouse gas emission reductions.

SCOPE OF WORK TO OPERATE THIS PROJECT
  1. The Contractor will provide the services of Electric Street Lighting by installing complete set of 7610 LED Street Lights and dismantling of Old Street light fixtures (“the Work”) in the jurisdiction/s.
  2. The Company shall supply the material to the Contractor for the Work in these locations & if the location is nearby the working site then Contractor have to bring of their own.
  3. The Contractor is required to complete installation of 400 street lighting per day and invoice shall be raised on monthly basis.
  4. The Contractor shall possess valid electrical license for executing the said works.
  5. The Contractor is responsible for handing over the old fixtures to the Company warehouse/Godown.
  6. All the cable connections shall be applied with anti-corrosion gel and insulated with self-bonding insulation tape issued by the Contractor if required.
  7. The Contractor shall employ suitable skilled persons to carry out the said Works.
  8. The Contractor shall regularly supervise and monitor the progress of work and keep informed to the Company about the progress of work on daily basis.
  9. The Contractor shall ensure that the work is carried out in accordance with supply of street lighting material by the Company and within the total of the contract amount without any cost escalation.
  10. During the period of maintenance, the Contractor shall take appropriate measures for ensuring safety of working personnel, as per all applicable laws in general and with special focus in working at heights, working on/in the vicinity of power supply lines.
  11. The Contractor shall be responsible for all statutory compliance as may be required with regard to the activities to be performed to execute the scope of work under the contract including requirements under Contract Labour Acts, Safety of the workmen deployed etc. including all expenses incurred for the same.
  12. The Contractor shall be solely responsible / maintain necessary Insurance against loss of materials, cash, or workman disability and death compensation claims of the persons deployed at the Works.
  13. The Contractor don’t pay refundable Security deposit then Contractor shall provide to their workmen like Safari Semi Safety Helmet, Electrician Jacket, Hand Gloves, ladder to climb a Electric pole for 22-25 feet, All sized spanner, Tester, Wire cutter, Cutting Player, Plus & Star Screw driver, Chisel, Hammer etc..
  14. The Contractor have to make clamps and bending rod through fabricator for which we will pay Rs. xxxx/- per light fittings clamps if required as per the specification required and bill of these amount will be claimed every after 3000 pc.’s.
  15. The Contractor has to take own room for workmen on the proposed site on rent the work in process and will be reimbursement every after 25 days.
  16. If the Contractor leaves the work in between then he/she has no right to claim for payment of the work done and he can leave the work after completion of 3000 light fitting only.
  17. The Contractor must take the material on per day basis only on writing & should submit remaining and replaced material in writing.
  18. The Contractor must send us images through WhatsApp of each and every pole at the time of working.
  19. The Contractor must mail us day to day report latest by 10:00 pm to our mail id.
  20. The Contractor must report the actual number of lights on daily basis.
  21. The Contractor must have the liabilities of Lodging and boarding of their workmen.

General Terms and conditions to operate this above project mention below:

This Work Order shall come into full force and effect on the date of its execution and remain in force for 05 (Five) years unless terminated prior to that in accordance with the terms herein (the “Term”). The Term may be extended by the Parties in writing on mutually agreed terms.
Initially we will issue to contractor 3000 no.’s of Smart meters and secure Godown should near to work site only with proper security and after start of work within 07 days we will issue to contractor 2000 no.’s of smart meters.
Extract old meter will be handed over to owner.
We will provide, Smart meter, 3 core wire, insulation tape, and small ladle out of which ladle will be return back to us after the completion of work completion.
Contractor will get per single phase meter installation will be Rs.xxx/- plus GST.
Contractor will get per three phase meter installation will be Rs.xxx/- plus GST.
Bill should be raised every after completion of 2000 meter to install if it take less than 30 days then also contractor can raise the bill.
All the required material will be provided by us before the start up the work for the region contractor have a total man-power
In the event of a breach by either Party (the “Breaching Party”) of its obligations under this Agreement, the other Party (the “Non-breaching Party”) may issue a written notice to the Breaching Party granting it a  15 (Fifteen) days period to cure the alleged breach failing which the Non-breaching Party may terminate this Work Order with immediate effect.
The Contractor shall not enter into any Work Order or arrangement whether directly or indirectly, during the term of this Agreement, and for a further period of 05 years from the date of expiry / termination hereof, with the Client of ePeople, which will inhibit or restrict the exercise by ePeople of its rights pursuant to this Agreement.  This obligation on Contractor shall survive termination of this Work Order and the Contractor shall be liable to pay the damages to ePeople within 07 days of receipt of demand from ePeople, in this regard.  The Contractor agrees that the damages are reasonable and genuine pre-estimate of compensation that the Parties have arrived at and shall be payable by the Contractor to the ePeople for the loss and damages resulting from the aforesaid breach.  Further till the time the Contractor pays the damages, he will not be entitled to engage himself in any assignment the property or assets of either Party.
It is clarified that in the event of a Material Breach, the Non-breaching Party will have the option to terminate this Work Order forthwith pursuant to a written notice without grant of any rectification period to cure the breach.
The expiration or termination of this Work Order shall be without prejudice to the accrued rights of the Parties. Any provision and obligation of the Parties relating to or governing their acts, which expressly or by its nature survives such termination or expiration, shall be enforceable with full force and effect notwithstanding such termination or expiration, until it is satisfied in full or by its nature expires.

The provisions herein which by their nature are intended to survive the Term or the earlier termination of this Work Order shall survive such conclusion of this terms and conditions.
Term and Termination
This Agreement shall come into full force and effect on the date of its execution and remain in force for 3 (Three) months unless terminated prior to that in accordance with the terms herein (the “Term”). The Term may be extended by the Parties in writing on mutually agreed terms.

Ø  if either Party becomes or is declared bankrupt or goes into voluntary or compulsory liquidation; and
Ø  if any distress or attachment is levied or any receiver is appointed in respect of the business or a substantial part of the property or assets of either Party.
It is clarified that in the event of a Material Breach, the Non-breaching Party will have the option to terminate this Agreement forthwith pursuant to a written notice without grant of any rectification period to cure the breach.
The expiration or termination of this Agreement shall be without prejudice to the accrued rights of the Parties. Any provision and obligation of the Parties relating to or governing their acts, which expressly or by its nature survives such termination or expiration, shall be enforceable with full force and effect notwithstanding such termination or expiration, until it is satisfied in full or by its nature expires.

Article 11
Force Majeure
Either Party shall be free from all responsibility for any non-performance or delays in performance either wholly or in part if such non-performance or delays in performance either wholly or in part is occasioned by events of Force Majeure.
In any such event of Force Majeure, the affected Party shall immediately notify the other in writing of the occurrence of any such event of Force Majeure with all pertinent facts relating thereto. On receipt of such information from the affected Party and such verification as the other Party may deem necessary, the stipulated period for fulfillment of obligations under this Agreement shall be extended by a period relevant to the event of Force Majeure.
Mention us that which are the districts you and your company are interested to work for this project so that we will give you the calculation of number of meters to be install on those specific area and for that what will be the security deposit for the same and the security deposit {100% refundable after completion of work} which we will take against the lump-sum of materials required on that area you want to work.
For this work contractor has to deposit the sum of Rs. xxxx security deposit and 100% refundable after the completion of total work taken which will be mentioned area on the work order.
On reach of material on your destination agreement will be done on your place and a small technical training will be giving by our technical team to all the ground staff of yours to startup the work in proper way.
